Owniful takes a "Compliance-First" approach to democratizing real estate. Unlike unregulated crypto projects, we operate strictly within the securities laws of the United States.

To balance speed of execution with our long-term vision of global access, we are rolling out our offerings in two distinct regulatory phases.

Phase 1: Regulation D (Rule 506c)

Current Status: 🟢 Active

We are currently operating under SEC Regulation D, Rule 506(c). This exemption allows issuers to raise unlimited capital from Accredited Investors while remaining compliant with US Securities laws.

Why Reg D First?

Regulation D allows us to move fast. It enables us to secure high-value assets (our initial $40M portfolio) and onboard institutional capital ("Whales") and wealthy individuals immediately without the 6-9 month waiting period required for a public offering.

Who Can Invest Now?

Under Rule 506(c), investing is currently limited to Verified Accredited Investors.

  • Individuals: Net worth over $1 Million (excluding primary home) OR annual income over $200k+ (individually) / $300k+ (with spouse).

  • Entities: Companies or trusts with assets over $5 Million.

  • Verification: As per SEC rules, we must take "reasonable steps" to verify your status. This is handled automatically by our Broker-Dealer partner, Rialto Markets, during the signup process (via tax returns, bank letters, or CPA letters).

Phase 2: Regulation A+ (Tier 2)

Current Status: 🟡 In Roadmap (Coming Soon)

Our ultimate goal is to allow everyone to invest. To achieve this, Owniful plans to file for Regulation A+, often referred to as a "Mini-IPO."

The "Invest Like a Billionaire" Phase

Regulation A+ will allow Owniful to offer securities to the General Public (Non-Accredited Investors).

  • Who Can Invest: Anyone over 18. (Non-accredited investors are limited to investing a maximum of 10% of their annual income or net worth per offering).

  • Public Filing: This phase requires a full qualification by the SEC and ongoing financial reporting, ensuring the highest level of transparency for our retail users.

  • The Vision: Once approved, this will unlock the ability for everyday users to buy fractional shares of Dubai real estate starting with small minimums (e.g., $50).
