When Can I Sell My Investment?
This depends on the type of offering and regulatory rules.
During Reg D Offerings (Current Phase)
Investments may be subject to a mandatory holding period (typically up to 12 months)
This is required by law, not by Owniful
During this time, shares cannot be freely traded
Once the holding period ends, additional liquidity options may become available.
During Reg A+ Offerings (Future Phase)
Investments may be eligible for earlier or ongoing resale
This allows broader participation and improved liquidity
Subject to market availability and platform rules
We will clearly label each investment with its specific liquidity terms.
How the Secondary Market Will Work
Owniful is building a secondary marketplace that allows investors to sell eligible shares to other investors.
When available, this will allow you to:
List your shares for sale
Set your price (within market rules)
Sell peer-to-peer through a regulated trading system
This marketplace will operate through a registered Alternative Trading System (ATS).
What Is an ATS?
An Alternative Trading System (ATS) is a regulated marketplace used to trade private securities.
In simple terms:
It’s like a stock exchange
But for private, regulated assets
With compliance, reporting, and investor protections
Owniful will only enable secondary trading through approved, compliant systems.
What Happens If I Want Out Before Liquidity?
If an investment is not yet eligible for resale:
You continue to hold your position
You still earn any applicable income or distributions
Your ownership remains intact
Some assets may also provide liquidity through:
Asset sales
Refinancing events
Buybacks (if disclosed in advance)
All liquidity paths are disclosed upfront.
